Although the poll is closed, I prefer this version over the other as well. It is mostly because it allows the entire document to be highlighted instead of focusing on the key terms, which I still believe varies by business which key terms are most important. My overall comments from the last post still stand on wanting to have the opportunity to make comments to the other sections and not just the key terms. However, I can see how this model works well for businesses that will only accept comments to certain sections and not the entire agreement.

The poll appears to be closed but I think if you wanting to streamline things and make it quicker to execute the NDA than the web cover page is better overall with maybe some of suggested changes to it in the last comments. I'll acknowledge though that the second one feels more familiar to what most attorneys are used to which might make them more comfortable using it.

I think getting more people comfortable with the first web page and using it comes down to how expectations are set and managed regarding how balanced and fair the NDA is that the parties are using. NDAs certainly vary and can be specific to certain circumstances, but they also are often very copycat of each other and pretty similar so if you can help the counterparty see that they're not really signing anything in this NDA (other than maybe those key terms) that they haven't already seen in other NDAs then I feel like people will be more comfortable with the web cover page which feels quicker to me if you can get the comfort.
